General Terms and Conditions (GTC) — Outzip UG (haftungsbeschränkt)

Note on language versions: The GERMAN version of these General Terms and Conditions is the sole binding version. This English version, is provided for information purposes only. In the event of any conflict or discrepancy between the versions, the German version shall prevail.

Section 1 Scope, Provider, Contracting Party

(1) These General Terms and Conditions (hereinafter the "GTC") apply to all contracts for the rental of outdoor equipment concluded via the platform outzip.de between

(hereinafter "Outzip") and the Renter.

(2) The Renter is the natural or legal person who makes a booking via the platform. A consumer is, pursuant to § 13 of the German Civil Code (BGB), any natural person who enters into the contract for purposes that are predominantly outside their trade, business or self-employed professional activity. An entrepreneur is, pursuant to § 14 of the German Civil Code (BGB), a person who, when entering into the contract, is acting in the exercise of their trade, business or self-employed professional activity.

(3) Outzip itself is the contracting party to the rental agreement. Outzip acts vis-à-vis the Renter as lessor within the meaning of §§ 535 et seq. of the German Civil Code (BGB), including where the equipment originates from partner brands or operators.

(4) Deviating, conflicting or supplementary terms of the Renter shall not become part of the contract unless Outzip expressly consents to their application in text form.

(5) Use of the platform is conditional upon acceptance of these GTC. Any person who does not accept these GTC may not make use of the services.

Section 2 Minimum Age

Use of the rental services requires that the user has attained the age of 18 years and has unrestricted legal capacity. Outzip is entitled to request proof of age and to refuse bookings in the event of reasonable doubt.

Section 3 Formation of Contract

(1) The presentation of equipment on the platform does not constitute a legally binding offer, but an invitation to submit an offer (invitatio ad offerendum).

(2) By clicking the "book subject to payment" button, the Renter submits a binding offer to conclude a rental agreement (§ 312j(3) of the German Civil Code (BGB)).

(3) The contract is formed as soon as Outzip accepts the booking by means of a booking confirmation in text form (e-mail). An automated acknowledgement of receipt does not yet constitute acceptance unless it is expressly designated as a booking confirmation.

(4) The contract text is stored by Outzip and transmitted to the Renter in text form together with the booking confirmation.

(5) The contract is concluded in German, English or Norwegian, depending on the language version of the platform selected.

Section 4 Rental Object, Rental Period and Condition

(1) The subject matter of the contract is the provision, for consideration and for a limited period of time, of the equipment designated in the booking confirmation (rental agreement in respect of movable property, §§ 535 et seq. of the German Civil Code (BGB)).

(2) The rental period is specified in the contract as a specific period of time and follows from the booking confirmation.

(3) All rental items are professionally cleaned, inspected and serviced before each rental.

(4) Outzip Care: Signs of use arising from use in accordance with the intended purpose are covered by the rental price and are not charged separately. Outzip Care does not cover misuse, loss or significant damage (Section 9).

Section 5 Prices, Payment and Shipping Costs

(1) All prices stated are final prices including statutory value added tax.

(2) The rental price is structured on a degressive basis: as the rental period increases, the price per day decreases. The total price applicable to the booking is transparently disclosed before the booking is submitted.

(3) Shipping costs: A flat-rate shipping charge is levied for dispatch and return. It is identical for the outbound and return legs and depends on the country of delivery:

• Deliveries within the EU: 23 EUR per leg

The specific flat-rate shipping charge is disclosed before the booking is submitted.

(4) All bookings must be paid online in advance. Payment processing is carried out via the payment service provider Stripe. The available payment methods are displayed during the booking process.

(5) Pricing errors: Manifestly incorrect price statements (for example due to technical errors or transmission errors) entitle Outzip to avoid the contract pursuant to §§ 119 et seq. of the German Civil Code (BGB). Outzip will inform the Renter without undue delay; any payments already made will be refunded in full. There is no entitlement to performance of the booking at the incorrect price.

Section 6 Security Deposit

(1) A security deposit determined individually for each item is levied for every rental object. The amount is disclosed before the booking is submitted.

(2) The security deposit is merely pre-authorised on the Renter's means of payment and is not debited, provided that no event giving rise to security under Section 9 occurs.

(3) The pre-authorisation is released within 14 days of the complete and proper return of the equipment and completion of the inspection.

(4) Note: Card issuers frequently allow pre-authorisations to lapse automatically after as little as one to two weeks. The lapse of the pre-authorisation does not affect the continued existence of the booking. Outzip remains entitled to invoice claims under Section 9 separately.

(5) Claims of Outzip under Section 9 and Section 10 may be set off against the security deposit. Any remaining balance will be released without undue delay. Where the claims exceed the security deposit, the difference will be invoiced separately.

Section 7 Dispatch, Delivery and Return

(1) Following the booking confirmation, Outzip dispatches the equipment in sufficient time for it to reach the Renter before the start of the booked rental period.

(2) For orders within the EU, delivery is made from the logistics centre in Belgium; for orders within Norway, from the logistics centre in Norway.

(3) The delivery times stated are guide values in calendar days and are not bindingly promised delivery dates, unless a fixed date has been expressly agreed.

(4) Before the end of the rental period, Outzip reminds the Renter in text form of the forthcoming return and provides a return shipping label.

(5) For the timeliness of the return, the sole decisive factor is the day on which the consignment is handed in at the drop-off point (PUDO point). The subsequent transit time until arrival at the logistics centre shall not be to the Renter's detriment.

(6) The Renter must return the equipment in the packaging provided or in equivalent packaging that is safe for transport.

Section 8 Late Return

(1) Where the return consignment is handed in up to one calendar day after the agreed return date, no additional charges are incurred.

(2) In the event of any delay beyond this, Outzip is entitled to demand compensation for use in the amount of the most recently applicable daily rental price for each further day commenced (§ 546a of the German Civil Code (BGB)).

(3) Further claims for damages, in particular on account of the unavailability of the rental object for subsequent bookings, remain unaffected.

Section 9 Damage, Misuse and Loss

(1) The Renter must treat the equipment with care and in accordance with its intended purpose and must return it in an appropriate condition.

(2) Normal wear and tear and ordinary signs of use (such as minor scratches) are covered by the rental price and are not charged.

(3) In the event of misuse or significant damage, an amount equal to 50 % of the current market value of the item concerned is charged.

(4) In the event of total loss or theft, an amount equal to 100 % of the current market value is charged.

(5) Determination of the current market value: The decisive factor is the current market price of a comparable product less an appropriate reduction in value (depreciation) according to the age and period of use of the specific item. Outzip will disclose the calculation to the Renter in text form upon request.

(6) Claims under paragraphs 3 and 4 are set off against the security deposit or invoiced separately.

(7) The Renter must report damage to, defects in or the loss of the equipment without undue delay to [email protected].

(8) The Renter reserves the right to prove that no damage has been incurred or that the damage is substantially lower than that assessed by Outzip.

Section 10 Cleaning

Standard cleaning is included in the rental price. Where the equipment is returned exceptionally heavily soiled or improperly packaged, an additional flat-rate cleaning charge of EUR 10.00 may be levied. The Renter reserves the right to prove that the expense incurred was lower.

Section 11 Transport Risk

(1) If the consignment is lost or damaged on the outbound leg, Outzip bears the risk. The Renter shall receive, at their option, replacement equipment, insofar as available, or a full refund of the amount paid.

(2) If the consignment is lost on the return leg after it has been properly handed in at the drop-off point, the Renter bears no liability for this. This is conditional upon the use of the return shipping label provided by Outzip and the presentation of the drop-off receipt.

(3) Paragraph 2 does not apply where the loss was caused by the Renter intentionally or through gross negligence.

Section 12 Cancellation and Amendment of Bookings

(1) The Renter may cancel a booking before the start of the rental period. The following cancellation charges apply:

(2) The removal of individual items from an existing booking is treated as a partial cancellation; paragraph 1 applies accordingly.

(3) The addition of individual items is possible at any time, subject to availability.

(4) The Renter reserves the right to prove that Outzip has incurred no loss at all or a loss substantially lower than the respective cancellation charge.

(5) Cancellation must be declared in text form to [email protected] or via the user account.

Section 13 No Right of Withdrawal (Leisure Activities with a Specific Period)

(1) No right of withdrawal exists in respect of the rental agreements concluded via the platform.

(2) The exception follows from § 312g(2) no. 9 of the German Civil Code (BGB). Under that provision, no right of withdrawal exists in the case of contracts for the provision of services in connection with leisure activities where the contract provides for a specific date or period for performance.

(3) The requirements are met because a) the equipment provided serves exclusively for the pursuit of leisure activities in the outdoor sector, b) each contract provides for a rental period specifically designated in the booking confirmation, and c) Outzip reserves the rental object for that period from the available stock and is unable to rent it out otherwise at short notice.

(4) The Renter is clearly informed of the non-existence of the right of withdrawal before the booking is submitted.

(5) The cancellation options under Section 12 remain unaffected by this and are granted to the Renter irrespective of the statutory right of withdrawal.

Section 14 Subscriptions

(1) Outzip offers, upon request, flexible subscriptions with a term of up to 12 months.

(2) These GTC apply accordingly to subscriptions, unless otherwise provided in the separate subscription agreement.

(3) The degressive price structure under Section 5(2) also applies to subscriptions.

Section 15 Defects and Warranty

(1) The statutory provisions of tenancy and rental law apply, in particular §§ 536 et seq. of the German Civil Code (BGB).

(2) If the rental object is defective upon handover or becomes defective during the rental period, the Renter must report this without undue delay to [email protected] (§ 536c of the German Civil Code (BGB)).

(3) Outzip will, at its option, supply a replacement, insofar as available, or reduce the rental price on a pro rata basis. In the case of significant defects that entirely preclude use, the Renter may terminate the contract for cause; amounts already paid in respect of the unusable period will be refunded.

(4) If the Renter fails to give notice, the Renter shall be denied the rights under § 536 to the extent that Outzip was unable to provide a remedy as a result of the omitted notice.

Section 16 Liability

(1) Outzip is liable without limitation a) in cases of intent and gross negligence, b) for damage arising from injury to life, body or health, c) under the provisions of the German Product Liability Act (Produkthaftungsgesetz), d) to the extent of a guarantee assumed by Outzip.

(2) In the event of the slightly negligent breach of a material contractual obligation (cardinal obligation — an obligation the fulfilment of which is essential to the proper performance of the contract in the first place and on the observance of which the Renter may regularly rely), Outzip's liability is limited in amount to the foreseeable damage typical of the contract at the time the contract was concluded.

(3) In all other respects, Outzip's liability is excluded.

(4) Outzip is not liable for damage caused by improper use of the equipment by the Renter or by use otherwise than in accordance with its intended purpose. The Renter is obliged to familiarise themselves with the equipment before use and to observe the accompanying manufacturer and safety instructions.

(5) The use of outdoor equipment is at the user's own risk. The Renter must assess on their own responsibility whether they possess the experience, physical fitness and equipment required for the planned activity.

(6) The foregoing limitations of liability also apply for the benefit of Outzip's legal representatives and vicarious agents.

Section 17 Refunds

Refunds are initiated within 3 working days of the refund entitlement being established. The credit is made to the means of payment originally used. The time until the value date is actually credited depends on the respective payment service provider and the card-issuing institution.

Section 18 Data Protection

Personal data is processed in accordance with Outzip's privacy policy.

Section 19 Dispute Resolution

(1) The European Commission provides a platform for online dispute resolution (ODR): https://consumer-redress.ec.europa.eu/index_en

(2) Outzip is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 of the German Consumer Dispute Resolution Act (VSBG)).

Section 20 Amendments to these GTC

(1) Outzip reserves the right to amend these GTC with effect for the future, insofar as this is necessary to adapt to a changed legal position, supreme court case law or changed market conditions and the Renter is not thereby unreasonably disadvantaged.

(2) Registered users will be informed of amendments in text form at least six weeks before they take effect. If the user does not object within six weeks of receipt of the notification, the amended GTC shall be deemed to have been accepted. Users will be separately informed of this consequence in the notification.

(3) For bookings already concluded, the version applicable at the time the contract was concluded shall always apply.

Section 21 Applicable Law and Place of Jurisdiction

(1) The law of the Federal Republic of Germany applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) Where the Renter is a consumer with habitual residence in another EEA state, the mandatory consumer protection provisions of their state of residence remain unaffected (Article 6 of the Rome I Regulation).

(3) Where the Renter is a merchant, a legal person under public law or a special fund under public law, the exclusive place of jurisdiction is Berlin, Germany.

Section 22 Final Provisions

(1) Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.

(2) Amendments and supplements to the contract require text form.
